Under Illinois Law, a sole proprietorship is an entity which requires no formalities, no documents to execute, and no
separate bank accounts or tax returns.
Depending on the type of business, the owner may be required to obtain licenses or
permits, or file a certificate of doing business under an assumed name with the local county clerk. There are dangers in sole
proprietorships, in that the owners of the sole proprietorship will not be protected and the proprietorship will not shield the
owners from any business/related liabilities.
The sole proprietor whose employee injure someone or who is injured while on
the job, or who incurs debts in the course of operating the business will be personally liable. Therefore, a sole proprietorship
should be utilized under limited circumstances.
